1. Introduction
These Terms of Service ("Terms") govern your use of the MerchDash analytics dashboard ("Service") operated by MerchDash ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.
2. Service Description
MerchDash is a software-as-a-service analytics dashboard that connects to third-party e-commerce seller APIs (including Takealot) to aggregate and display your sales, inventory, and product performance data. The Service provides data visualisation, reporting, and analytics tools to help sellers manage their businesses.
3. Account Registration
To use the Service, you must create an account using a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorised use of your account.
4. API Key Handling
The Service requires you to provide API keys from third-party platforms (e.g., your Takealot Seller API key) to access your data. By providing an API key, you:
- Confirm that you are authorised to use that API key and access the associated data.
- Acknowledge that we store the API key securely on our servers to perform data synchronisation on your behalf.
- Accept that we are not responsible for any actions taken by third-party platforms regarding your API key or account.
5. User Responsibilities
You agree to:
- Use the Service only for lawful purposes and in accordance with these Terms.
- Provide accurate and current information when creating your account.
- Not share your account or API keys with unauthorised parties.
- Comply with the terms and policies of any third-party platforms whose API keys you use with the Service.
- Not attempt to reverse-engineer, decompile, or interfere with the Service.
6. Data Processing
We process your sales, inventory, and product data solely for the purpose of providing the Service. Data is synchronised periodically from connected platforms and stored in our database infrastructure (hosted on Supabase). We do not sell, share, or use your business data for any purpose other than delivering the Service to you. For full details, see our Privacy Policy.
7. Intellectual Property
The Service, including its design, features, and code, is owned by MerchDash and protected by applicable intellectual property laws. You retain ownership of your data. By using the Service, you grant us a limited licence to process your data as necessary to provide the Service.
8. Limitation of Liability
To the maximum extent permitted by South African law:
- The Service is provided "as is" without warranties of any kind, whether express or implied.
- We do not guarantee the accuracy, completeness, or timeliness of data synchronised from third-party platforms.
- We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service.
- Our total liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim.
- The Service does not constitute financial, tax, or business advice. You are solely responsible for decisions made based on data displayed in the Service.
9. Subscription Billing & Refunds
MerchDash uses a card-upfront free trial and weekly recurring billing via Paystack:
- 3-day free trial. When you sign up, we capture your card via Paystack but do not charge the full plan amount during the trial. We may place a temporary R1 authorisation hold for tokenisation purposes; this is refunded immediately.
- Day-3 charge. At the end of your trial, we automatically charge the weekly plan amount you selected. We send an email reminder 1 hour before the charge so you can cancel in time.
- Weekly recurring billing. After the first charge, your card is billed every 7 days at the weekly rate for your tier. Annual plans are billed once for 48 weeks of access.
- Cancellation. You can cancel any time from your billing settings. Cancellation takes effect at the end of the already-paid week (or year, for annual plans). We do not prorate the in-flight billing period.
- Refunds. Because cycles are weekly, we do not issue partial refunds for unused days within a paid week. Annual plans are refundable on a pro-rata basis (per unused full month) within 14 days of the annual charge if you contact support.
- Failed payments. If a recurring charge fails, your subscription enters past_due status and your dashboard becomes read-only until billing is updated. Paystack retries on its own schedule; you can also re-initiate payment from /home/billing.
- Price changes.We may update plan prices with at least 14 days' notice via email. Existing subscribers keep the price at which they subscribed for at least 90 days from notice.
10. Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any data synchronisation delays caused by third-party API limitations or outages.
11. Termination
You may terminate your account at any time by contacting us. We may suspend or terminate your access if you violate these Terms or engage in conduct that we reasonably believe is harmful to the Service or other users. Upon termination, your stored data will be deleted within 30 days unless required by law to be retained.
12. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of South Africa. The provisions of the Consumer Protection Act 68 of 2008 and the Electronic Communications and Transactions Act 25 of 2002 apply where applicable.
